Terms of Service

These Terms govern your use of all DevBrid websites, platforms, and services. Please read them carefully before engaging with our digital properties.

1. Acceptance of Terms

By accessing or using any DevBrid website, platform, or service (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you may not access our Services.

These Terms constitute the entire agreement between you and DevBrid Technologies Ltd. regarding your use of our Services and supersede any prior agreements.

2. Description of Services

DevBrid provides enterprise software engineering, cloud architecture, AI/ML development, digital transformation consulting, and managed technology services to businesses globally.

Specific terms governing the delivery of contracted software development and consulting services are defined in individual Master Service Agreements (MSAs) and Statements of Work (SOWs) executed between DevBrid and the client. Those documents take precedence over these general Terms for contracted engagements.

3. User Obligations

You agree not to use our Services for any unlawful purpose, to transmit any harmful, offensive, or misleading content, or to interfere with or disrupt our infrastructure, servers, or networks.

You agree not to reverse-engineer, decompile, or attempt to extract source code from any DevBrid proprietary software, system, or platform.

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or breach.

4. Intellectual Property

All content on our website and marketing materials — including text, graphics, logos, icons, images, audio, and software — is the exclusive property of DevBrid Technologies Ltd. or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.

Client-owned intellectual property developed under a signed MSA/SOW is governed by the IP ownership clauses within that agreement. By default, DevBrid retains ownership of all proprietary frameworks, tooling, and methodologies used in delivery.

You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission.

6. Disclaimers & Warranties

Our website and publicly accessible content are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our website will be uninterrupted, secure, or error-free, that defects will be corrected, or that our services or the server that makes them available are free of viruses or other harmful components.

7. Limitation of Liability

To the fullest extent permitted by applicable law, DevBrid Technologies Ltd., its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, data, goodwill, or other intangible losses, arising from your access to or use of (or inability to access or use) our Services.

Our total aggregate liability for any claims arising out of or related to these Terms shall not exceed the amount paid by you to DevBrid in the twelve (12) months immediately preceding the event giving rise to the claim, or USD $100, whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless DevBrid and its officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Services.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Clients in other jurisdictions may have additional rights under their local laws.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page, with the "Last Updated" date revised accordingly. Your continued use of our Services after any changes constitutes your acceptance of the new Terms.

For material changes, we will endeavour to provide notice via email or a prominent notice on our website at least 14 days in advance.
